Welcome to Southern Tier IT Services (“we,” “us,” “our”). These Terms of Service (“Terms”) govern all products and services we provide, including IT management, consulting, repair, electronics, software development, monitoring, and related technology services (collectively, the “Services”). By engaging with us or using any of our Services, you (“Client,” “you,” or “your”) agree to these Terms.


1. Scope of Services

We provide technology-related services, including but not limited to:

  • Managed IT and monitoring services

  • Network, cloud, and cybersecurity solutions

  • Electronics and computer repair

  • Product design, prototyping, and development

  • Software and app development

  • Consulting, vCTO, and business technology planning

  • Audio/visual, communications, and cabling services

The exact details of any engagement will be outlined in a written estimate, proposal, or service agreement.


2. Fees and Payment

All fees are due as stated on invoices or contracts.

  • Payment is accepted through our client portal or other approved methods.

  • Late payments may incur a finance charge or service interruption.

  • Prices and rates are subject to change with reasonable notice.

  • Subscriptions (such as monitoring services) renew annually unless canceled before the renewal date.

Old payment methods and credentials from prior systems are not valid under our new client portal.


3. Client Responsibilities

You agree to:

  • Provide accurate and timely information necessary for us to perform Services.

  • Maintain secure backups of your data unless covered under a separate backup or disaster recovery agreement.

  • Use our Services lawfully and in accordance with these Terms.

We are not responsible for delays or failures caused by inaccurate information, third-party vendors, or circumstances beyond our control.


4. Data Security and Privacy

We take reasonable measures to safeguard client data and systems. However, no system is completely secure.
We are not liable for data loss, breaches, or corruption unless directly caused by our negligence.

Our privacy policy, available on our website, explains how we collect, use, and protect your information.


5. Hardware and Repairs

Repairs and hardware services are performed with professional care.

  • We are not responsible for pre-existing conditions or damage unrelated to our work.

  • Data loss during repair can occur; we recommend clients back up their data before service.

  • All parts and labor warranties are specified on a per-service basis.


6. Software Development & Custom Solutions

All software, code, and prototypes developed by us remain our intellectual property until payment is made in full.
Licensing, ownership, and support terms for custom solutions will be defined in individual project agreements.


7. Monitoring and Managed Services

Monitoring services, including Southern Tier IT Advantage Monitoring Services, provide proactive alerts and recommendations but do not include the cost of repairs.
We are not responsible for any loss or damage arising from user inaction following an alert.


8. Limitation of Liability

To the maximum extent permitted by law, Southern Tier IT Services is not liable for:

  • Indirect, incidental, or consequential damages (including lost profits or data).

  • Hardware or software failures outside our control.

  • Any third-party service interruptions or data breaches.

Our total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim.


9. Cancellations and Terminations

Either party may terminate services with written notice.
Outstanding balances are due immediately upon termination.
Subscription services remain active until the end of the paid term and are non-refundable after activation.


10. Third-Party Products and Services

We may recommend or resell third-party software or hardware.
All warranties, performance, and support for third-party products are governed by their respective vendors.


11. Governing Law

These Terms are governed by the laws of the State of New York.
Any disputes shall be resolved in the courts of Allegany County, NY, unless otherwise required by law.


12. Updates to These Terms

We may update these Terms periodically. The latest version will always be available on our website. Continued use of our Services constitutes acceptance of any updates.
